NinjaOne’s December 2023 New Subscription Promotion

Terms and Conditions

NinjaOne, LLC (“NinjaOne”) is excited to offer an incentive program in which certain new customers of NinjaOne (“You”) can use the NinjaOne software for free for a limited time (“Promotion”), subject to these terms and conditions. If You participate in the Promotion, You agree to these Promotion terms and conditions, as well as those of the applicable NinjaOne Order Form, the NinjaOne End User License Agreement (“EULA”), and the NinjaOne Privacy Policy. NinjaOne reserves the right, in its sole discretion, to modify the Promotion and these terms and conditions without notice at any time. If You do not agree with the modifications, Your sole and exclusive remedy is to not participate in the Promotion.

1. Promotional Values. Each Eligible Customer (as defined below) will be eligible for the following promotions subject to the conditions stated:

• New Internal IT Customers that commit to a 15-month Subscription contract will receive 3 months free of charge.
  • The contract term date will start in December 2023.
  • Payment for the entire Subscription is due in full in March 2024.
  • Pricing at MSRP.
• New MSP Customers will receive 3 months free of charge.
  • The contract term date will start in December 2023.  Billing date and payments start in December 2023.
  • Next three months free of charge (Jan ‘24, Feb ‘24, March ‘24).
• Eligible Customers who purchase by December 22, 2023, will also receive a gift card AFTER they complete their first payment. Only one gift card will be provided for each Eligible Customer.
  • First payment of at least $249 – receive a $100 gift card.
  • First payment of at least $999 – receive a $250 gift card.
  • First payment of at least $1000 (and above) – receive a $500 gift card.

2. In order to be eligible to participate in the Promotion:
   

• You must be a new customer of NinjaOne;
• You must enter into a subscription for NinjaOne software for at least 50 devices (“Subscription”);
• You must sign the Order Form for the Subscription on or before 5:00pm PDT on December 29, 2023;
• If you are an Internal IT Customer: The initial term of your Subscription must be at least 15 months. While no payments are due in 2023, payment for the entire Subscription will be charged upfront in full in March 2024.
• If you are an MSP Customer: You must enter into a month-to-month Subscription and You must make the first non-discounted monthly payment under the Subscription in full and on time.

Each new customer who meets all of these requirements is referred to as an “Eligible Customer” herein.

       3. Miscellaneous. Except as expressly modified herein, all terms and conditions of the applicable Order Form and EULA remain in effect and apply to the Subscription and use of any NinjaOne software, including, but not limited to, those concerning renewal or termination of the subscription and/or EULA, and fees for licenses to NinjaOne software and products.

All disputes, claims, and actions related to this Promotion and these terms and conditions shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any choice or conflict of law rules of any jurisdiction, and shall be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

The Promotion may not be combined with any other promotion or discount. The offer made through this Promotion is void in any jurisdiction where prohibited.
